How it works?
Submission
Startups submitted their application here, according to the set Investment Criteria
Prescreening
Investor Club offers its members a deal flow that is curated and leveraging on different channels and networks.
Club members are also invited to refer deals to the other Investor Club members. Referrals will be rewarded upon successful closing of the transaction
Members are also invited to participate in the pre-screening stage. If there is enough member interest at pre-screening and lead investors are identified, then the company moves on to presentation.
Presentation
On ad-hoc basis, pre-screened investment opportunities are shared with the club members.
Interested members are then invited to a webinar or a presentation for interaction and Q&A with startup cofounders
Webinar (in case scheduled) will be recorded to be shared with interested members that were not able to attend
A formalized report summarizing the Q&A and findings of the interested club members will be made available
Vetting
Members express their interest to invest in a company.
Due diligence
Lead investor calls a kick-off meeting with the respective interested Investors Club members. Interested investors will verify the statements made in the business plan, presentation, and financial projections. They will thoroughly research the team’s background and track record. Final decisions on due diligence outcomes and related risks associated with the investment sits within the responsibility of each interested investors.
An initial discussion of valuation and terms will happen early in Due Diligence through the lead investor to make sure the two parties are within working distance of each other and that Due Diligence can proceed
Term Sheet Negotiation & Closing
The lead investor negotiates the key terms and conditions with the company, laid down in the Term Sheet.
Once the Term Sheet is signed, the lead investor organizes investment agreement and shareholder agreement are finalized allowing for the Closing
Startups are asked to issue shares or Convertible notes are issued.
